General Order 013 2005-2006
A Resolution
The Department of Wisconsin, at its 123rd Encampment, held in Saukville on June 10 th, 2006 , unanimously approved and hereby submits the following resolution, changing the National Constitution of the Sons of Union Veterans of the Civil War:
Whereas, the National Organization Sons of Union Veterans of the Civil War has operated as a benevolent, non-profit corporation since its Congressional chartering in 1956; and
Whereas, the National Organization Sons of Union Veterans of the Civil War has received competent legal counsel, advising that a change of tax code status from 501(c)(4) to 501(c)(3) is possible; and
Whereas, the National Organization Sons of Union Veterans of the Civil War and its subordinate units would benefit from such a change, including but not limited to tax deductible donations from donors, grant money from private and public sources, and lower postage rates on corporate mailings;
Therefore , let it be resolved that the following Article X, entitled “Dissolution of Corporation,” be added to the Constitution:
"This organization is organized and operated exclusively for charitable, educational or other purposes within the meaning of section 501(c)(3) Internal Revenue Code.
"Notwithstanding any other provision of these articles, Sons of Union Veterans of the Civil War, shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue law) or (b) by an organization contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1986 (or corresponding provision of any future United States Internal Revenue law).
"Upon the dissolution of this organization, assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future federal tax code), or shall be distributed to the Federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed by the Court of Common Pleas of the county in which the principal office of the Corporation is then located, exclusively for such purposes or to such organization or organizations as said Court shall determine, which are organized and operated exclusively for such purposes."
